Please read these Terms and Conditions ("Terms") carefully before purchasing, enrolling in, or using any services, programs, courses, or coaching offered by Lightning Academy ("Company," "we," "us," or "our"). By accessing our website, enrolling in a program, or engaging with our services in any way, you ("Client," "you," or "your") agree to be bound by these Terms.

Lightning Academy is a coaching and consulting company operating primarily in the United States of America. Our mission is to help experienced Salesforce professionals transition into successful independent consultants. These Terms govern your use of our services, website, and all related content.

 

1. Acceptance of Terms

By purchasing, enrolling in, or using any Lightning Academy service, program, course, or content, you confirm that:

       You are at least 18 years of age.

       You have the legal capacity to enter into a binding agreement.

       You have read, understood, and agree to be bound by these Terms.

       If purchasing on behalf of a business or organization, you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use our services.

 

2. Services Offered

Lightning Academy provides coaching, consulting, courses, and educational content designed to help experienced Salesforce professionals build independent consulting businesses. Services may include, but are not limited to:

       One-on-one coaching sessions

       Group coaching programs

       Online courses and digital training materials

       Workshops and webinars

       Consulting framework templates and resources

       Community membership and peer support networks

The specific deliverables, scope, timeline, and pricing of services will be outlined in your enrollment agreement, order confirmation, or service proposal.

 

3. Payment Terms

3.1 Fees and Payment

All fees for services are stated in U.S. Dollars (USD). Payment is due in accordance with the payment schedule outlined at the time of enrollment or purchase. Lightning Academy accepts payment via credit card, debit card, bank transfer, and other methods as indicated at checkout.

3.2 Payment Plans

Where payment plans are offered, you agree to make all scheduled payments on the agreed dates. Failure to make timely payments may result in suspension of access to services, materials, or program content until your account is brought current.

3.3 Late Payments

If a scheduled payment fails or is declined, we will make reasonable attempts to notify you. If payment is not received within five (5) business days of the due date, Lightning Academy reserves the right to suspend or terminate your access to services without refund for amounts already paid.

3.4 Taxes

You are responsible for any applicable taxes, duties, or fees associated with your purchase, unless otherwise required by law.

 

4. Refund Policy

Due to the digital and service-based nature of our offerings, all sales are generally final. However, Lightning Academy wants clients to be satisfied and will evaluate refund requests on a case-by-case basis under the following guidelines:

       Refund requests must be submitted in writing to [email protected] within the timeframe specified in your enrollment agreement.

       Refund eligibility may depend on the amount of program content accessed or sessions completed.

       No refunds will be issued for services that have been substantially delivered or completed.

       Payment plan obligations are not canceled by a refund request unless explicitly approved in writing.

Any approved refunds will be processed within ten (10) business days to the original payment method.

 

5. Coaching & Consulting Disclaimer

Lightning Academy provides business coaching and educational consulting services. Our services are NOT a substitute for professional legal, financial, tax, or psychological advice. Results from our coaching and consulting programs vary by individual and depend on factors including, but not limited to, your effort, experience, market conditions, and business decisions.

We make no guarantees or warranties, express or implied, regarding income levels, business growth, or specific outcomes. Testimonials and success stories shared by Lightning Academy are not typical results and should not be interpreted as promises or guarantees.

 

6. Intellectual Property

All materials, content, frameworks, templates, recordings, slides, documents, and other resources provided by Lightning Academy — including but not limited to course materials, training guides, and coaching resources — are the proprietary intellectual property of Lightning Academy and are protected by applicable copyright, trademark, and intellectual property laws.

As a client or participant, you are granted a limited, non-exclusive, non-transferable license to use these materials solely for your own personal business development. You may NOT:

       Copy, reproduce, distribute, sell, or sublicense any materials to third parties.

       Use materials to create competing products or services.

       Remove or alter any copyright, trademark, or proprietary notices.

       Share login credentials or program access with individuals who have not purchased access.

Violation of these terms may result in immediate termination of your access without refund and may subject you to legal action.

 

7. Confidentiality

In the course of coaching and consulting engagements, both parties may share confidential information. You agree to hold in confidence any non-public business information, strategies, or materials shared by Lightning Academy. Similarly, Lightning Academy will keep your personal information and business details confidential, except as required by law or as described in our Privacy Policy.

Group coaching programs may involve other participants. You agree not to disclose the personal, business, or financial information shared by other participants within group settings.

 

8. Code of Conduct

By participating in any Lightning Academy program, community, or session, you agree to:

       Treat all participants, coaches, and staff with respect and professionalism.

       Not engage in harassment, discrimination, or abusive behavior of any kind.

       Not share, copy, or distribute materials or session recordings outside the program.

       Not solicit other participants for business outside of program-approved networking.

Lightning Academy reserves the right to remove any participant from a program at any time for violation of this Code of Conduct, with or without refund, at our sole discretion.

 

9. SMS Messaging

Lightning Academy uses SMS (text message) communications primarily to remind clients of upcoming appointments, scheduled calls, and meetings. By providing your mobile phone number and enrolling in our services, you consent to receive SMS messages from Lightning Academy.

Message frequency varies. Standard message and data rates from your carrier may apply. You may opt out of SMS messages at any time by replying STOP to any message or by contacting us at [email protected]. For help, reply HELP to any message.

Lightning Academy does not use SMS for marketing solicitations unless separately disclosed and consented to in writing.

 

10. Scheduling and Cancellations

10.1 Appointment Scheduling

Coaching sessions and consulting calls must be scheduled in advance through our scheduling system. It is your responsibility to manage your scheduled appointments.

10.2 Cancellation Policy

If you need to cancel or reschedule a session, you must notify us at least 24 hours in advance. Cancellations made with less than 24 hours' notice may be forfeited without the ability to reschedule, at Lightning Academy's discretion.

10.3 No-Shows

If you fail to appear for a scheduled session without prior notice, that session will be considered forfeited and will not be rescheduled or refunded.

 

11. Limitation of Liability

To the fullest extent permitted by applicable law, Lightning Academy and its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our services, content, or programs.

Our total aggregate liability for any claim arising from or related to our services shall not exceed the total amount you paid to Lightning Academy in the three (3) months immediately preceding the event giving rise to the claim.

 

12. Indemnification

You agree to indemnify, defend, and hold harmless Lightning Academy and its principals, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms, your misuse of our services, or your infringement of any third-party rights.

 

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and applicable state law, without regard to conflict of law principles.

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Any arbitration shall take place in the jurisdiction associated with Lightning Academy's principal place of business.

Nothing in this section shall prevent either party from seeking emergency injunctive relief in a court of competent jurisdiction.

 

14. Modifications to Terms

Lightning Academy reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website or notification to active clients via email. Your continued use of our services following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

 

15. Entire Agreement

These Terms, together with any enrollment agreement, order confirmation, or service proposal provided at the time of purchase, constitute the entire agreement between you and Lightning Academy with respect to the subject matter herein and supersede all prior communications, representations, and agreements.
